Dexter Network, Inc. (“Dexter”) operates the Dexter expert platform and related websites (the “Site”). By agreeing to participate in the Dexter network and any project engagements, as well as engaging with the Site in general, you acknowledge that you have read and have agreed to the entirety of these Terms of Use (the “Terms”). Dexter reserves the right to change the Terms without notice to you, so please reference these Terms periodically and prior to accepting each new project engagement with Dexter.
As an individual member of the Dexter network (a “Member”), you play an essential role in helping Dexter achieve its mission to deliver high-quality insights to its clients. The Site provides resources, tools, and information for Dexter’s clients to manage project engagements with its Members (the “Services”). These Terms aim to help you maintain confidentiality, act with professionalism and integrity, provide accurate representation, avoid plagiarism, and prevent criminal behavior.
You agree not to disclose or attempt to use or personally benefit (including trading securities) from any Confidential Information, as defined below, that you obtain from Dexter clients, Dexter employees, Dexter communications, or otherwise while you are engaging with the Site.
Confidential Information includes: (a) the title, description, or existence of any Dexter project; (b) proprietary data, information about actual or prospective business or products, trade secrets, financial information, or strategies of any Dexter client; (c) personal and non-public information about employees of a Dexter client; and (d) any intellectual property or copyrighted information of Dexter or its clients. Confidential Information further includes all notes, documents, or any other materials obtained by the Member during the course of a Dexter project engagement or while using the Site.
Confidential Information excludes information which (i) is or becomes generally available to the public other than as a result of a disclosure by the Member in violation of these Terms; (ii) becomes available to the Member on a non-confidential basis; (iii) is already in possession of the Member and was not obtained by the Member from a source that is known to the Member to be prohibited from disclosing the information to the Member by an obligation of confidentiality; or (iv) is independently developed by the Member without use of or reference to the Confidential Information.
This restriction on disclosure and the use of Confidential Information will remain in place until such time as the Confidential Information has become publicly known through no action of your own.
You are prohibited from ever disclosing any information about a client project engagement or information obtained from a client to any public forums, including your personal or company websites or any social media platforms.
In providing information via Dexter, you certify that you have full right to disclose such information and such information is not the intellectual property of a third party and is not otherwise restricted or confidential in nature.
If you share any copyrighted information or other third party materials, you agree to disclose such ownership. You will only disclose such materials to the extent it is permitted to do so, and ownership rights shall remain with the original creator. You agree that any third-party materials shared are free of any confidential information, restrictions, or third-party royalty requirements.
If you are compelled by a court order, government entity, or other legal body to disclose any Confidential Information, you agree to notify Dexter immediately and cooperate with Dexter to protect such information to the extent possible under applicable law.
You must promptly disclose any actual or potential conflicts of interest that may arise during a project engagement. Conflicts of interest may include, but are not limited to, financial interests, competing for professional obligations, or personal relationships that could affect your objectivity or impartiality.
You agree to cooperate fully with Dexter in addressing any conflicts of interest that may be identified, which could involve recusing yourself from certain projects or disclosing the conflict to relevant parties.
Membership in Dexter is non-exclusive. You are free to join and engage with other expert networks if you so choose.
Participation in a Dexter project engagement requires mutual consent. You are given the opportunity to review projects before accepting a project invitation, and you have the option to reject any pending project invitation. Likewise, Dexter clients and Dexter maintain the right to reject or cancel any Member from a project engagement at any time.
If you feel uncomfortable with the nature of the discussion or the client’s questions during a project engagement, you should terminate the engagement immediately and notify help@dexterexperts.com.
You may contact Dexter for any support needs or assistance, any time during or after a project engagement.
Some of the content on the Site is provided by Dexter’s Members, including a Member’s Dexter profile that may contain biographical and employment information, as well as a Member’s responses to qualification questions for project engagements. Dexter makes no representations as to the accuracy of this Member content. The use of an organization’s name as part of a Member’s biographical or employment information does not constitute Dexter’s endorsement of the organization in question.
Members are encouraged to keep their profiles up to date to ensure accuracy and maximize opportunities for project engagements. You may update your profile at any time through your account settings. You also acknowledge that Dexter reserves the right to update and/or edit your profile using publicly available data and from prior Dexter project engagements. These updates and edits may be made without prior notice or explicit permission and may include, but are not limited to (i) your current and previous job titles; (ii) the name of your current or previous organizations and employers; (iii) any tags or other categorizations based on your participation in Dexter projects, surveys, and other interactions you might have on the Site.
Dexter may make updates to Member profiles to maintain the integrity and relevance of Dexter’s expert network and the Services. If you believe any updates are inaccurate, you may request a review by contacting help@dexterexperts.com.
Dexter’s expert network and platform rely on the good faith accuracy of information provided by its Members. You agree only to provide accurate information about your qualifications, work experience, affiliations, and achievements and update it as necessary.
You must not intentionally mislead or deceive Dexter or its clients by misrepresenting your professional or personal background, your identity, or your affiliations. Furthermore, you agree not to accept any project engagements that are outside your areas of expertise.
You must not create inauthentic or duplicative profiles within the Dexter network.
You must not plagiarize or represent another individual's or entity's thoughts, ideas, language, or expressions as your own in any responses to project invites and questionnaires, as well as during the course of a project engagement. Any insights and ideas that are not your own must be attributed to a third-party appropriately.
All Dexter project interview calls are recorded for quality assurance, future reference, and to improve Dexter’s clients’ use of the Services. By participating in a project call with Dexter or a Dexter client, you acknowledge and consent to the recording of your conversation, which may then be transcribed.
If you would like to make a request regarding the recording, you must submit it via the designated Dexter form, at least 24 hours before the scheduled meeting. Please note that submitting a request may result in the cancellation of the call.
You must behave professionally with Dexter’s employees, Dexter clients, and other network Members, using respectful and appropriate language in oral or written communication.
You must not engage in any behavior that constitutes discrimination or harassment based on age, color, disability, gender identity, marital status, national origin, race, religion, sex, sexual orientation, or any other protected characteristic.
While participating in a Dexter project engagement, you must not make any sexual advances or engage in conduct of a sexual nature.
You agree to comply with all applicable laws, rules, and regulations while participating as a Dexter Member. This includes, but is not limited to, data protection and privacy laws, intellectual property laws, and regulations specific to your industry or profession.
Dexter does not permit any of its Members or its clients to engage in, or express the intention to engage in, violent or serious criminal behavior or other criminal or fraudulent conduct. While engaging in a project or using the Site, if you feel personally threatened or endangered, or believe that a crime may have been committed, please contact the appropriate authorities and notify a Dexter representative immediately.
You agree not to become a Dexter Member or engage in any Dexter project if doing so breaches a duty owed to a current or former employer or other third party.
If notified by an organization, Dexter will make its best commercial efforts to enforce an organization’s policies prohibiting or limiting outside consulting to any employees in the Dexter network. Employers are encouraged to inform the Dexter team of any policies they might have regarding outside consulting, by emailing the Dexter team.
Dexter, in its sole discretion, reserves the right to terminate or limit your membership in Dexter at any time and for any reason without notice, as well as to remove your biographical profile from the Site.
THE CONTENT AND FUNCTIONALITY ON THE SITE IS PROVIDED WITH THE UNDERSTANDING THAT DEXTER IS NOT HEREIN ENGAGED IN RENDERING PROFESSIONAL ADVICE AND SERVICES TO YOU. ALL CONTENT AND FUNCTIONALITY ON THE SITE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. DEXTER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE OWNERSHIP, ACCURACY, OR ADEQUACY OF THE SITE CONTENT OR THAT THE FUNCTIONALITY ON THIS SITE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU HEREBY ACKNOWLEDGE THAT YOUR USE OF THIS SITE IS AT YOUR SOLE RISK. UNDER NO CIRCUMSTANCES SHALL DEXTER OR ANY OF ITS PREDECESSORS, SUCCESSORS, PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, INVESTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, ATTORNEYS AND THEIR RESPECTIVE HEIRS, SUCCESSORS AND ASSIGNS BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES THAT DIRECTLY OR INDIRECTLY RESULT FROM THE USE OF, OR THE INABILITY TO USE, THIS SITE OR THE INFORMATION CONTAINED ON THIS SITE OR OBTAINED FROM YOUR USE OF THIS SITE, INCLUDING FOR VIRUSES ALLEGED TO HAVE BEEN OBTAINED FROM THE SITE, EVEN IF DEXTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES AND REGARDLESS OF THE THEORY OF LIABILITY.
As a Member of Dexter and use of the Site, you agree to indemnify, defend and hold Dexter, its officers, directors, employees, agents, and representatives harmless from and against all claims, damages, losses, costs (including reasonable attorneys' fees), or other expenses that arise directly or indirectly out of or from (a) your violation of the Terms; (b) your use of the Site; or (c) your violation of the rights of any third party.
The content on the Site is subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. No content on the Site is permitted to be copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, uploaded, or otherwise exploited without the prior written consent of Dexter.
These Terms are governed by the laws of the State of California without reference to the principles of conflicts of laws thereof. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of California, in Los Angeles County, with respect to all disputes arising out of or related to these Terms. If any part of these terms is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
